The branch of the higher education institution is regulated by § 93 paragraph 4 of Act No. 111/1998 Coll. - a domestic legal entity which intends to provide higher education under a foreign higher education degree programme of a European foreign higher education institution in the territory of the Czech Republic as part of a cooperation with a European foreign higher education institution in accordance with the legislation of the home state of such European foreign higher education institution shall be entitled to execute such education in the territory of the Czech Republic, provided it is registered in the Czech Republic for the fulfilment of the information obligations arising under the provisions of Section 93d (1).
A legal entity in the Czech Republic may have a legal form pursuant to Act 89/2012 Coll., (hereinafter NOZ) eg association, or according to Act No. 90/2012 Coll., (hereinafter only ZOK) eg s.r.o., a.s., v.o.s. or k.s. and other entities. Legal entities are also established under other legal regulations, but these are the most common. According to our current practice, the branches of a foreign university most often take the form of capital business corporations, ie s.r.o. and a.s. and there are also registered as z.s.
In general, according to the NOZ, a partnership agreement or a founding document is required for the set up and dissolution of a legal entity and also is required to write down the legal entity into a public or other register. When it is created, it is necessary to determine its name, which is under legal protection, and its registered office. The day of deletion from the public register is the day of the dissolution of a legal entity. Business corporations, as the most common forms of foreign branches of higher education institutons, are subject to registration in the Commercial Register.
