Continuation of the trade in special cases

Main information

In special cases defined in the Trade Licensing Act, such as:

  • the death of an entrepreneur,
  • the merger or division of a company or cooperative and the transfer of assets to a partner,

it is possible to continue operating the trade in question under the conditions laid down in the Trade Licensing Act.

You are an authorized person who solves the issue of continuing to operate a trade in special cases under the Trade Licensing Act.

Death of an entrepreneur, merger or division of a company or cooperative or transfer of assets to a partner.

When to use this service

You can solve the service if you are an authorized person under the Trade Licensing Act, within the deadlines set out in the Trade Licensing Act.

Within 3 months from the date of the death of the entrepreneur. 

Within 15 days from the date of the legal effects of the merger, division or transfer of assets to the partner.

What you need if you are using this service

To apply for the continuation of a trade dealt with in person or by post, you need:

  • I.D. card,
  • proof that you are an authorised person, i.e. proof that the successor is the administrator of the estate, or an heir by operation of law or by will, or an insolvency administrator appointed by the court, and you can also provide proof of the merger or division of the corporation.

Where and how to solve this service

When submitting a request in person or by post, please do the following:

  • during a personal visit, you will come to the selected municipal trade licensing office and the worker will fill out a submission on the basis of the facts you have stated, which you will sign on the spot.

  • when submitting an application by post, proceed as follows:
  1. fill in the application form - Single Registration Form ('JRF') for a natural or legal person,
  2. print and sign the application,
  3. send the application by post to the selected municipal trade licensing office,
  4. You can personally submit your application in writing to the registry of the relevant municipal trade licensing office.

  • when submitting an application via the CzechPOINT contact point:
  1. visit the relevant CzechPOINT contact point at the post office,
  2. handle the submission of the application in paper form or in electronic form with the worker/postal worker.

How much will you pay

  • Notification of the continuation of the trade in special cases is not subject to an administrative fee.
  • Acceptance of the submission by the contact point of public administration (CzechPOINT) pursuant to Section 72 of the Trade Licensing Act is CZK 50.

What you need if you are using this service

  1. You can submit a notice on the continuation of the trade on the death of the entrepreneur on the Uniform Registration Form Change Certificate, or in the form of a standard submission with general requirements under the Code of Administrative Procedure.
    • The given data are: name, surname, date of birth, address, and concern the deceased entrepreneur and the successor.
  2. Notification of the continuation of the trade in the case of a merger or division of a company or cooperative or in the case of a transfer of assets to a partner should be sent to the Trade Licensing Office in the form of a standard submission with general requirements pursuant to the Code of Administrative Procedure.
    • The data provided are: first name, surname, date of birth, address, subject ID, and relate to the status before and after the change.

Attach to the notification the relevant document attesting to the continuation of the trade, i.e. that the continuator of the trade is an authorised person - he is the administrator of the estate, or the heir by law or by will, or the insolvency administrator appointed by the court, and you can also submit proof of the merger or division of the corporation.

You can submit a correctly completed submission electronically in two ways:

  1. from the Trade Licensing Portal (in the section Electronic Submission -> Announcement of Trade or Change -> New Submission -> I want to announce a change or a new trade),
  2. to the data box of the selected trade office.

The Trade Licensing Office (Trade Licensing Office), which you marked for processing when completing your submission, is obliged to accept this electronic submission, process it accordingly and, if possible, process it electronically.

What is the benefit of this service

The benefit of the service is the creation of the right of the person entitled to continue operating the trade:

  • after a deceased businessman,
  • a defunct legal person,
  • after the merged or divided legal entity, until it has its own trade license.

Appeal options

If a decision has been issued regarding the continuation of the trade, you can appeal against it in accordance with the relevant provisions of Act No 500/2004, the Code of Administrative Procedure (Sections 81 and 82).
