Transfer of a foreign legal entity’s registered office to Czechia.

The Czech legal system separately regulates the transfer, to Czechia, of the registered office: (1) of foreign legal entities; and (2) of business corporations in the European Union. General provisions on the relocation of any foreign legal entity can be found in Section 138 et seq. of the Civil Code (Act No 89/2012). Special provisions applicable to European business entities are set out in the Transformations Act (Act No 125/2008).

These provisions allow foreign entities to transfer their registered office to Czechia and, in doing so, to become Czech legal entities without having to be dissolved (wound up) in their previous country and re-established in Czechia. This guarantees legal continuity for foreign entities.
